General Terms and Conditions for Contract between Kathy Whyte trading as Nurture Mum of St Augustines Park, Blackrock, County Dublin (“The Provider of Services”) and the Customer.
The Customer is:The Contract between Kathy Whyte trading as Nurture Mum of St Augustines Park, Blackrock, County Dublin (“The Provider of Services”) and the Customer is governed by the following terms and conditions:
The party engaging the Provider of Services to provide the Ante natal and Post Natal Advisory Services as outlined in the schedule to this agreement and named as such in said schedule and these General Terms and Conditions or as agreed between the Customer and the Provider of Services from time to time in writing.
The Provider of Services is:
Kathy Whyte trading as Nurture Mum Of St Augustines Park, Blackrock, County Dublin (“the Provider of Services “).
The background to this agreement is that the Customer has need of Ante natal and Post Natal Advisory Services at his or her home address and or on line and the Provider of Services is able and willing to provide or to arrange to provide those services on the terms and conditions of this agreement.
It is now agreed as follows:
|“Infants “||means the Customer’s infant child or children.|
|“Confidential Information”||means all information about the parties’ respective businesses, without limit.|
|“Services”||means the Ante Natal and Post Natal Advisory Services described in paragraph 2.|
|“Payment “||means the payment described in paragraph 3.|
|“Working Week”||means the period beginning on a Monday and ending on a Sunday.|
The Provider of Services shall be entitled to assign its rights and obligations under the Contract without notice.
The Customer warrants that it will not do anything which will hinder or obstruct the Provider of Services in carrying out its obligations and shall ensure so far as is reasonably practicable the safety of all persons provided by the Provider of Services to carry out the services. The Customer will fully and effectively indemnify the Provider of Services and any persons provided by the Provider of Services to carry out the services in respect of any loss damage or claims arising out of any breach by the Customer of this warranty.
The services provided are in the nature of advisory services only which do not include any medical treatments or interventions. The excluded services include but are not limited to the following services:
For the purposes of the Data Protection Act 1998 and 2003 the Provider of Services consents to the processing of all or any personal data (in manual, electronic or any other form) relevant to this agreement by the Customer and/or any agent or third party nominated by the Customer and bound by a duty of confidentiality. Processing includes but is not limited to obtaining, recording, using and holding data and includes the transfer of data to any country either inside or outside the EEA.
This agreement contains the entire agreement between the parties and supersedes all previous agreements and understandings between the parties. Each party acknowledges that, in entering into this agreement, he does not rely on any representation, warranty or other term not forming part of this agreement.
If any of these terms is at any time held by any jurisdiction to be void, invalid or unenforceable, then it shall be treated as changed or reduced, only to the extent minimally necessary to bring it within the laws of that jurisdiction and to prevent it from being void and it shall be binding in that changed or reduced form. Subject to that, each provision shall be interpreted as independent and severable from each other paragraph and therefore separately enforceable.
It is not intended that this agreement shall give any right to any third party.
